CUSTOMER SUPPLYAGREEMENT TERMS AND CONDITIONS PLEASE READ THESE TERMS CAREFULLY.

Introduction

Thesupply of all goods by Rustic Laser Art to its customers are made upon theterms of this agreement as follows.

Definitions

Forthe purpose of this document the following expressions shall have the meaningassigned to them below:

'Customer'shall mean the individual, company or juristic entity in whose name the order isplaced or made out to.

'Goods' shall mean the items ordered by customer as described on anyfinal purchase order. 'Writing' includes fax transmission, electronic mail andcomparable means of communication.

Specification of Goods

1.           Prior to placing an order, thecustomer shall make proper and sufficient enquiries and determinations andsatisfy themselves to the nature, quality, quantity, suitability and all otherpertinent information pertaining to the intended purchase.

2.           All goods are intended for fairuse and wear and tear, and it is not contemplated that the goods be used in anyunusual or extreme conditions or circumstances.

3.           The customer shall makesufficient enquiries and satisfy themselves of the specifications pertaining toany intended order, including but not limited to sizes, fabric type, fabricquality, the “hand feel” of the fabric, garment or product design, trims,stitching, materials, and general quality of the product. (3) Goods may bearthe specifications contained in the Rustic Laser Art hardcopy or onlinecatalogues (published and/or amended from time to time). Descriptions andspecifications are however subject to confirmation by Rustic Laser Art, and maybe changed without notice. All sizes are approximate "to fit" sizesand are given for general guidance only. Colours, shades, materials and sizesmay vary to a minor extent from those contained in price lists, catalogues or samples.

4.           Variations to design andproduct specifications on the goods shall be deemed to be accepted by thecustomer upon acceptance of delivery of the goods.

Samples

1.           Customers may obtain samples ofgoods to assess their suitability, design, quality and specifications. Samplescan be retained for seven (7) days, where after they must be returned in theiroriginal condition and packaging without anydamage.

2.           Samples will be invoiced to thecustomer on dispatch and will be repaid or credited in full, when returned to RusticLaser Art, unused and within seven (7) days of delivery, failing which thesample cost shall become immediately payable.

Customised and Unique Goods

1.           Rustic Laser Art offers certaincustomisation services to its goods, including embroidery, branding,alterations and amendment of design specifications. The customer shall approveand sign-off all customisations prior to production.

2.           No customisation will be doneunless approved or signed-off by the customer. Rustic Laser Art may requireupfront payment prior to engaging in any customisation service.

3.           The customer shall ensure thatany artwork, graphics or customisation details and requirements (even when notsupplied by the customer) are accurate and satisfactory prior to the customisation being effected.

4.              Notwithstanding anythingcontained to the contrary in this agreement, the offer, acceptance andcompleted sale - in respect of customised goods- shall occur upon confirmationof the customisation service/s and production thereof. Once an order has beenapproved by Rustic Laser Art, no further changes to the order shall bepermitted or done.

Payment

1.           All purchases shall be paid forin full upon order placement and before any works will commence.

Delivery

1.           "Delivery" is definedin this agreement as either the collection of the goods by the customer (ortheir agent) from Rustic Laser Art premises, or the delivery of the goods tothe customer's nominated address.

2.           Collection shall be made withinseven working days after notification to the customer. Collection times arebetween 9am and 4pm on work days.

3.           Delivery dates are approximateonly. Time for delivery shall not be of theessence.

4.           Rustic Laser Art does not giveany warranty as to the time or speed of the preparation and/or packaging of anypurchase order. Rustic Laser Art shall however use its best efforts to expeditepreparation of all orders bearing in mind:

4.1         the quality of the goods ordered;

4.2         the complexity anddifferentiation of the orders; and

4.3         any customisation to the goods.

5.           The goods may be delivered oroffered for collection by Rustic Laser Art in advance of the quoted date.

6.           Rustic Laser Art reserves theright to split the packaging, or delivery, of any purchase order in different branches.

7.           The customer shall at their ownexpense make proper provision for the transport and/or collection.

8.           Acceptance of delivery(including collections) shall be evidenced by the customer (or its agents -including employees or representatives) signing the invoice, purchase order or waybill.

9.           If incorrect or damaged goodsare delivered the customer must notify Rustic Laser Art within two businessdays of delivery providing full details of the alleged damaged or incorrect goods.

10.         Returns of such damaged orincorrect goods (notified to Rustic Laser Art in writing within the relevanttime period) will give the customer the option of replacement of goods.Replacements claimed outside of the relevant time period will be at RusticLaser Art’s discretion.

11.         The customer shall notify RusticLaser Art in writing of any irregularities, including short-delivery withinthree working days of the delivery, and of non-delivery within three workingdays of the date upon which delivery was scheduled to take place.

Returns Policy

1.           Notwithstanding anythingcontained to the contrary, no customer shall be permitted to return any goodswithout Rustic Laser Art’s consent.

2.              The return of goods shall applyonly to goods that have not been made to order, customised or personalised inany way, have not been worn, or altered, are still in the original packagingand are otherwise fit to be returned to stock.

3.           If faulty or defective goodsare returned to Rustic Laser Art for replacement. Complaint regarding faultydelivered goods must be made in writing to Rustic Laser Art within three daysof delivery failing which the goodsshall be deemed to be free of any deficiency or defect. Rustic Laser Art reservethe right to credit or refund the purchase price in lieu of replacement.

Warranties

1.           Subject to the customer abidingand complying with the terms of paragraph 4 of this agreement, goods are soldsubject to a limited six month warranty against defects in workmanship andmaterials, as the result of normal use.

2.           Rustic Laser Art offers nowarranty and shall be bear no liability in respect of any defect or damagearising from fair wear and tear, wilful damage, negligence, abnormal workingconditions, misuse or alteration of the goods, or unintended or unreasonable use.

3.           Rustic Laser Art offers nowarranty and is not liable for any damage arising from rips, tears, abrasion,UV degradation, misuse or neglect, it being recorded that fabrics deteriorateand fade over time and moving parts wear out, and that goods may suffer fromdiffering degrees of wear- and-tear, depending upon the user.

4.           warranty claims shall benotified by the customer to Rustic Laser Art within seven business days fromthe date of delivery or (where the defect or failure was not apparent onreasonable inspection) within a reasonable time after discovery of the defect.

5.           Rustic Laser Art may elect toreplace or repair the goods free of charge or refund the purchase price of thereturned warranted goods, whereafter Rustic Laser Art shall have no furtherliability to customer.

6.           Refunds shall be paid within 30days of the return of the warrantied goods.

7.           The warranty is available onlyto the customer and is not transferable.

8.           Save as expressly providedherein, Rustic Laser Art makes no warranties and there are no conditions ofthis agreement that the goods are fit for their purpose or of merchantable quality.

9.           The customer shall makethemselves and procure, that any third party purchaser or end user is aware ofthe tenor of paragraph 4 of this agreement, and to comply with design qualityand care specifications as may appear on swing tags of certain goods.

10.         The limited warranty is in lieuof any other express warranty.

11.         No agent, employee orrepresentative of Rustic Laser Art has any authority to bind, affirm, representRustic Laser Art or offer or make any warranty except as stated herein.
